Terms of Service
These Terms of Service ("Terms") govern access to and use of the EW-Flow platform provided by Everywhere S.r.l. ("Provider"). By using the Service you accept these Terms in full.

1. Definitions
- Service: the EW-Flow BPMN process automation platform, including integration modules and the AI Agent.
- Customer: the legal entity subscribing to the Service.
- User: the natural person authorised by the Customer to access the Service.
- Workspace: the logical workspace assigned to the Customer.
- Customer Data: data the Customer uploads, processes, or transmits via the Service.
2. Subject matter
The Provider grants the Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service in accordance with the subscribed plan.
3. Account and security
The Customer is responsible for safeguarding credentials and for all activity carried out through their account. The Customer must promptly report any unauthorised access to security@ew-flow.com.
4. Fees and billing
Fees are set out in the subscribed plan. Billing is managed via Stripe Payments Europe Ltd including issuance of electronic invoices via the Italian SDI for Italian Customers. Failure to pay results in suspension of the Service after due notice.
5. Personal data
Processing of the Customer's and Users' personal data is governed by the Privacy Policy. Where the Provider processes personal data on the Customer's behalf in connection with workflow execution, it acts as processor under Art. 28 GDPR pursuant to the DPA available on request at privacy@ew-flow.com.
6. Acceptable use
The Customer shall not:
- Use the Service for unlawful purposes or in bad faith.
- Upload content that infringes third-party rights or applicable laws.
- Reverse engineer, decompile, or scrape the Service.
- Configure employee-monitoring workflows in breach of Italian Statuto dei Lavoratori art. 4 (Law 300/1970) or equivalent foreign law.
- Use the modules of the Service to send unsolicited communications (spam).
7. Third-party integrations
The Service allows configuring integrations with third-party services (e.g. Twilio, Aculab, Slack, OpenAI, Azure Communication Services). The Customer provides their own credentials and accepts the relevant third-party terms. The Provider assumes no responsibility for third-party acts or omissions.
8. AI Agent
The AI Agent provides automated, assistive suggestions. The Customer acknowledges that responses may be inaccurate and undertakes to verify them before acting on them. The Provider does not warrant the accuracy of AI Agent outputs.
9. Limitation of liability
To the maximum extent permitted by applicable law, the Provider's liability is limited to the fees paid by the Customer in the twelve months preceding the event giving rise to liability. Liability that cannot be excluded by law (wilful misconduct, gross negligence, infringement of fundamental rights) remains unaffected.
10. Term and termination
The contract runs for the term of the subscribed plan and renews automatically unless cancelled. The Customer may delete their account at any time from
Account → Privacy & Data; the Provider will retain data for the period necessary to comply with legal obligations (e.g. 10 years for billing).
11. Changes
The Provider may update these Terms with 30-day notice. The current version is 2026-05-07.
12. Governing law and venue
These Terms are governed by Italian law. Exclusive venue is [to complete], without prejudice to mandatory consumer protections under the Italian Consumer Code where applicable.
